1. Introduction

Welcome to Axiosky.

These Terms of Service ("Terms") govern your access to and use of the Axiosky website (axiosky.com) and our governance infrastructure services — including Governor, Policy Engine, Orchestrator, and related features — collectively referred to as the "Services".

These Terms constitute a legally binding agreement between you (or the organisation you represent) and Axiosky, a company registered in India. By accessing or using the Services, you confirm that you have the authority to bind yourself or your organisation to these Terms. If you do not agree, do not use the Services.

Business Users: Our Services are intended for businesses, government agencies, and organisations acting through authorised representatives. These Terms are not directed at individual consumers.

2. Our Services

Axiosky provides governance and control infrastructure that enables organisations to deploy and manage autonomous AI agents with mandatory policy enforcement, orchestration, audit logging, and human oversight. The Services are provided as described in any applicable order form, pilot agreement, or service agreement entered into between Axiosky and your organisation.

We are in active development. Features, capabilities, and service levels are described in individual engagement agreements. Nothing in these Terms alone constitutes a commitment to deliver any specific feature or uptime level.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter contracts on behalf of yourself or your organisation to use the Services. By using the Services, you confirm that you meet these requirements.

4. Accounts

Where account functionality is made available, you are responsible for:

  • Keeping your login credentials confidential and secure
  • All activity that occurs under your account
  • Notifying us immediately at security@axiosky.com if you suspect unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms or that pose a security risk to the Services or other customers.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse engineer, decompile, disassemble, or otherwise extract source code from the Services
  • Gain or attempt to gain unauthorised access to any part of the Services or related infrastructure
  • Upload, transmit, or store data that infringes third-party intellectual property rights or contains malicious code
  • Interfere with or disrupt the security, integrity, or availability of the Services
  • Use the Services to build or assist in building a substantially similar or competing product
  • Misrepresent your identity or organisational affiliation when accessing the Services

Violations of this section may result in immediate termination of access and may be reported to relevant authorities.

6. Intellectual Property

  • Axiosky owns all rights, title, and interest in the Services, including all software, architecture, design, logos, documentation, and content — except for content provided by you.
  • You retain ownership of all data, configurations, and policy definitions you provide or create using the Services ("Customer Content").
  • By using the Services, you grant Axiosky a limited, non-exclusive, non-transferable licence to host, process, and operate on your Customer Content solely to provide the Services to you.
  • We will not use your Customer Content for any purpose other than providing the Services, and we will not share it with third parties except as required to operate the Services or as required by law.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services ("Confidential Information"), and to use it only for the purposes of the engagement.

Confidential Information does not include information that is: (a) publicly available through no fault of the receiving party; (b) independently developed without reference to the disclosing party's information; or (c) required to be disclosed by law or court order, provided the receiving party gives reasonable prior notice where permitted.

Where a separate Non-Disclosure Agreement has been signed between the parties, that agreement governs in the event of conflict with this section.

8. Payments & Engagements

Fees and payment terms for paid engagements are set out in a separate order form or service agreement. Where a written agreement exists:

  • You agree to pay all fees as specified in that agreement
  • Renewal or continuation terms will be described in the relevant agreement
  • Any changes to fees will be communicated in writing with at least 30 days' notice before taking effect

Website access and general enquiries are provided free of charge and do not constitute a paid engagement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW, AXIOSKY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Axiosky does not warrant that the Services will be uninterrupted, error-free, or free of vulnerabilities. You are responsible for determining whether the Services meet your organisation's technical, regulatory, and operational requirements before deployment.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Axiosky shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including but not limited to loss of data, loss of revenue, or loss of business opportunity.

Our total aggregate liability for any claim arising from or relating to these Terms or the Services shall not exceed the total fees paid by you to Axiosky in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000 (whichever is greater).

11. Termination & Data Return

Either party may terminate an engagement in accordance with the terms of the applicable service agreement. We may suspend or terminate your access to the Services immediately if you materially breach these Terms.

Effect of Termination: Upon termination of a service engagement:

  • Your right to access the Services ends immediately
  • We will make your Customer Content available for export for a period of 30 days following termination, after which it will be securely deleted from our systems
  • You remain liable for any fees accrued prior to termination
  • Sections 6, 7, 9, 10, 13, and 14 survive termination

12. Third-Party Services

The Services may integrate with or reference third-party systems, platforms, or tools. Axiosky is not responsible for the availability, accuracy, security, or conduct of any third-party services. Your use of any third-party service is governed by that party's own terms and policies.

13. Force Majeure

Neither party shall be liable for any delay or failure in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, government action, strikes, network outages, or failure of third-party infrastructure.

14. General Provisions

Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with any applicable order form, service agreement, and Data Processing Agreement, constitute the entire agreement between the parties with respect to the Services and supersede all prior discussions, representations, and agreements.

No Waiver: Failure by either party to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.

Notices: Legal notices must be sent to legal@axiosky.com. We will send notices to the email address associated with your account or engagement.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kerala, India.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date. For material changes, we will make reasonable efforts to notify active customers directly. Continued use of the Services after the effective date of changes constitutes your acceptance of the revised Terms.
